Eesti Energia to Consolidate Entire Electricity Business Under Subsidiary Enefit

Starting in 2026, Eesti Energia will consolidate all electricity-related business areas—including retail, renewable energy production, energy trading, and development—under its subsidiary Enefit. The move aims to strengthen the group’s competitiveness and improve management efficiency.

The establishment of a strong electricity business entity is part of Eesti Energia’s broader initiative to optimize its corporate governance model. The goal is to enhance profitability, offer electricity at more competitive prices, and restore the company’s capacity to invest in new energy production assets.

“In a highly competitive and rapidly evolving energy market, only strong energy companies with integrated production and sales portfolios can succeed,” Andrus Durejko, Chairman of the Management Board of Eesti Energia, told The Voice of Renewables. “Bringing together all electricity operations into a unified structure is a logical continuation of the full reintegration of Enefit Green into the group. This allows us to deliver the best service to our customers and strengthen our position in our home markets.”

To establish a unified electricity business entity, the subsidiaries Enefit Green AS and Enefit AS will be merged into a single company, Enefit OÜ. Additionally, central units currently operating within Eesti Energia AS—such as energy trading and energy solutions development—will be transferred to the new entity. In 2026, Enefit Green and Enefit will also be merged into a single company under the Enefit name in Latvia, Lithuania, and Poland.

“Eesti Energia’s mission is to ensure shareholder value and energy supply that supports economic sustainability and aligns with the European Union’s energy and climate policy objectives,” said Anne Mere, Chair of the Supervisory Board of Eesti Energia. “ “The simplification of the governance model and the establishment of robust business lines represent a strategic step toward fulfilling the expectations set for the group and achieving its commercial objectives.”

The new electricity business entity, Enefit, will serve over 560,000 retail customers across Estonia, Latvia, Lithuania, and Poland, and manage 1,200 megawatts of Enefit Green’s renewable energy production capacity. Its portfolio will also include the Auvere battery energy storage system, the Iru combined heat and power plant, and future production and storage assets.

In the industrial sector, subsidiary Enefit Solutions—specialized in design, manufacturing, and maintenance—will be merged with Enefit Industry, which operates oil production and mining activities. Enefit Power, which operates reserve power plants, will become a subsidiary of Enefit Industry.

The changes will not affect Elektrilevi, the independent distribution network company owned by Eesti Energia.

The restructuring will not impact the validity or fulfilment of customer contracts with Eesti Energia’s subsidiaries. For any questions, customers are encouraged to contact their usual representatives.
