TenneT announces successful implementation of new funding structure with Dutch state guarantee

Following the announcements in relation to its new funding structure on 17 April 2025 and the institutional guarantee to be granted by the State of the Netherlands on 9 July 2025, TenneT Holding B.V. (“TenneT”) hereby announces that the envisaged transfer of debt from TenneT to TenneT Netherlands B.V. (“TenneT Netherlands”) will be effectuated on 16 September 2025.

The transfer of all outstanding senior notes issued pursuant to TenneT’s EMTN programme will be effective per 16 September 2025. This transfer will be the final step in the completion of the envisaged debt transfer of TenneT’s existing senior debt financing to TenneT Netherlands.

The irrevocable and unconditional institutional guarantee by the State of the Netherlands (“State Guarantee”) for TenneT Netherlands has been executed on 1 September 2025. The executed State Guarantee is published on TenneT’s website at https://www.tennet.eu/state-guarantee.

The new funding structure enables future senior debt financing to be raised by TenneT Netherlands for the Dutch TSO business and provides a strong basis to continue to ensure safe and reliable electricity supply in the Netherlands.
